0. Scope, definitions and relationship to the General Terms and Conditions

0.1 Scope. These Participation Conditions govern participation in the STI Next programme operated by B Lab Switzerland. They apply to the exclusion of any other document relating to STI Next, subject to Article 0.3.

0.2 Definitions:

  • Participant: any legal entity admitted to STI Next, whether a company, a municipality or another public or private organisation.
  • Programme: the STI Next programme, including the ambition framework, the methodological tools, the verification process and the public directory.
  • Public Directory: the publicly accessible listing of Participants and their commitments published by B Lab Switzerland.
  • STI Signatory: the status held by an organisation that is listed in the Public Directory with published commitments but is not an active STI Next Participant.
  • Fee Schedule: setting out the amounts payable, as defined in Article 13.

0.3 Language. These Participation Conditions may be published in French, German and English.

1. Nature of the engagement

1.1 Participation in STI Next constitutes a voluntary, public and annual commitment within the framework of the Swiss Triple Impact programme managed by B Lab Switzerland.

1.2 By joining STI Next, the Participant undertakes to:

  • a. formulate sustainability commitments structured according to the ambition framework of the Programme;
  • b. authorise the publication of those commitments in the Public Directory, barring mutual agreement otherwise;
  • c. contribute to the annual verification of its progress, in particular by providing the information reasonably requested by B Lab Switzerland within the agreed timeframes.

1.3 The STI Next engagement is a good faith approach based on transparency and continuous improvement. It does not constitute a certification, an accreditation, an audit or an attestation of conformity in the legal sense of those terms. B Lab Switzerland gives no warranty to third parties as to the accuracy, completeness or achievement of the commitments declared by a Participant.

1.4 Ambition framework and status. Commitments are classified according to the ambition levels (1, 2 or 3) of the Programme. Separately, an active Participant is assigned a dynamic programme status among Engaged, Shaper, Leader and Champion, reflecting the overall progress of its commitments. The ambition levels and the programme status are two distinct classifications.

2. Duration, renewal and termination for the following 

2.1 Initial period. Participation is contracted for a period of twelve months from the date of admission to STI Next.

2.2 Tacit renewal. At the end of each annual period, participation is tacitly renewed for a further period of twelve months, unless terminated in accordance with Article 2.3.

2.3 Termination for the following period. Either party may prevent the renewal of participation by giving written notice at least thirty days before the end of the current annual period. Termination under this Article takes effect at the end of the current annual period. The annual fee for the current period remains due in full.

2.4 Articles 4 and 6 govern the other cases in which participation may end before the end of the current period.

3. Annual fee

3.1 Basis of calculation. The annual fee is determined by reference to a size bracket, established as follows:

  • a. for companies and other economic entities, on the basis of the annual turnover declared by the Participant;
  • b. for municipalities and other public entities, on the basis of the resident population as published by the competent authority.
  •  

3.2 Fee Schedule, incorporation by reference. The amounts payable are set out in the Fee Schedule as defined in Article 13, which forms an integral part of these Participation Conditions. The Fee Schedule applicable to a Participant is the version in force on the date of its admission or, for a renewed period, on the date of renewal. Each version of the Fee Schedule is dated and numbered, and superseded versions remain accessible.

3.3 Structure of the fee. The fee comprises an entry fee, payable for the first annual period, and a reduced renewal fee for each subsequent annual period. The renewal fee is expressed as a percentage of the entry fee for the applicable bracket, namely 20% per cent for Participants admitted on or after 1 June 2026 and 10% per cent for Participants admitted before 1 June 2026. 

3.4 Declaration and verification. The turnover or population figure is self declared by the Participant at admission and confirmed by the Participant at each renewal. B Lab Switzerland may request supporting documentation. Where a declaration proves to be materially inaccurate, B Lab Switzerland may reassign the Participant to the correct bracket and invoice the difference for the affected periods.

3.5 Change of bracket. A change in turnover or population is taken into account at the next renewal and does not affect the fee for the current period.

3.6 Taxes. All amounts are stated excluding tax. Swiss value added tax is added at the rate in force where applicable. 

3.7 Invoicing and payment. The invoice is issued annually in the month corresponding to the Participant’s initial date of admission to the STI programme. Payment is due within thirty days of the invoice date.

3.8 Late payment. If an invoice remains unpaid after the due date, B Lab Switzerland may, after one written reminder and a further grace period of fifteen days:

  • a. charge default interest at five per cent per annum in accordance with Article 104 of the Swiss Code of Obligations;
  • b. suspend the Participant’s access to the services listed in Article 7;
  • c. suspend the display of the Participant’s dynamic programme status in the Public Directory;
  • d. after sixty days of non payment, terminate participation with immediate effect, in which case Article 6 applies and the fee remains due.

4. Withdrawal window on the first invoice

4.1 On the first invoice issued to a Participant following its initial admission to STI Next, the Participant has a period of thirty days from the invoice date to notify its withdrawal, in which case the fee for that year is not due and any amount already paid is refunded in full.

4.2 This withdrawal window applies once only, on the first invoice following initial admission. It does not apply to invoices issued on renewal.

4.3 Beyond that period, the annual fee is due in full and no pro rata refund is made, subject to Article 6.4.

5. Termination by the Participant during the current period

5.1 The Participant may withdraw from STI Next at any time, without justification, by notice sent by email to support@blab-switzerland.ch.

5.2 Withdrawal takes effect on receipt of the notice by B Lab Switzerland. B Lab Switzerland confirms receipt in writing within ten working days. That confirmation is administrative and is not a condition of the validity of the withdrawal.

5.3 No pro rata refund is made for the period in progress. The annual fee remains due in full for the current period, subject to Articles 4.1 and 6.4.

6. Suspension and termination by B Lab Switzerland

6.1 Grounds. B Lab Switzerland may suspend or terminate participation with immediate effect, after written notice and, where the breach is capable of remedy, a remedy period of thirty days, in the event of:

  • a. a materially false or misleading declaration by the Participant;
  • b. use of the STI or B Lab names, marks or visual identity in breach of Article 9;
  • c. non payment in accordance with Article 3.8;
  • d. conduct by the Participant that is manifestly incompatible with the purpose of the Programme or liable to cause serious harm to its integrity or to that of B Lab Switzerland.

6.2 Termination under Article 6.1 does not give rise to any refund.

6.3 Modification of the Programme. B Lab Switzerland may modify these Participation Conditions, the ambition framework or the Fee Schedule, subject to sixty days’ notice communicated by email to Participants.

6.4 Right to terminate on modification. Where a modification under Article 6.3 is substantial, the Participant may terminate its participation within the sixty day notice period. In that case, termination takes effect on the date the modification enters into force, and B Lab Switzerland refunds the fee for the current period pro rata to the remaining months. A modification is substantial where it increases the fee, reduces the services listed in Article 7 or materially alters the obligations of the Participant.

7. Obligations of B Lab Switzerland

7.1 In consideration of the annual fee, B Lab Switzerland provides the Participant with:

  • a. annual support from a designated analyst for the monitoring and progression of commitments;
  • b. access to the methodological tools of the Programme, including the commitments guide and catalogue and the double materiality matrix;
  • c. public visibility of the Participant’s profile and commitments in the STI Next directory;
  • d. access to thematic events and peer exchange sessions organised by B Lab Switzerland;
  • e. verification and validation of commitments at each maturity date.
  •  

7.2 Nature of the undertakings. The undertakings in Article 7.1 are obligations of means and not obligations of result. B Lab Switzerland provides them with the care to be expected of a professional organisation, and does not warrant any particular outcome for the Participant.

7.3 Force majeure. Neither party is liable for a failure to perform caused by an event beyond its reasonable control. Where such an event persists for more than ninety days, either party may terminate participation, and B Lab Switzerland refunds the fee pro rata to the services not provided.

8. Consequences of the end of participation on the public profile

8.1 Reclassification. When participation ends for any reason, the Participant is reclassified as an STI Signatory in the Public Directory.
8.2 Within that framework:

  • a. the commitments made during participation remain publicly visible, together with their ambition levels, as recorded on the date participation ended, and are not thereafter modified other than as provided in paragraph c;
  • b. the dynamic programme status referred to in Article 1.4 is no longer displayed;
  • c. B Lab Switzerland maintains a light follow up at the maturity date of each existing commitment. It sends an automatic email three months before each maturity date, followed by a short validation exchange in order to record a final outcome, achieved or not achieved within the timeframe. This follow up is a service offered by B Lab Switzerland and imposes no obligation on the former Participant. 

8.3 Removal. The former Participant may at any time request the complete removal of its profile from the Public Directory by written request to support@blab-switzerland.ch. B Lab Switzerland gives effect to that request within thirty days.

9. Use of the STI name and marks

9.1 For the duration of its participation, the Participant is granted a non exclusive, non transferable and royalty free right to refer to its participation in STI Next and to use the visual assets made available by B Lab Switzerland, in accordance with the communication guidelines provided.

9.2 The Participant undertakes not to present its participation as a certification, a label of conformity or an endorsement of its products or services by B Lab Switzerland.

9.3 On the end of participation, the Participant ceases all use of the visual assets within thirty days and updates any communication liable to suggest that it is still an active Participant. References to commitments made during participation, correctly dated, remain permitted.

10. Personal data and public visibility

10.1 The information published in the STI Next directory, namely the name of the Participant, its commitments, their ambition levels and its programme status, is submitted voluntarily by the Participant within the framework of the Programme. The Participant authorises its publication on the B Lab Switzerland website for the duration of its participation and, thereafter, on the terms set out in Article 8.

10.2 The processing of personal data by B Lab Switzerland is governed by its privacy policy, available at https://blab-switzerland.ch/privacy-policy/, and by the Swiss Federal Act on Data Protection.

10.3 The Participant and the natural persons concerned may exercise their rights of access, rectification, objection and erasure at support@blab-switzerland.ch. The right to request removal from the Public Directory is set out in Article 8.3.

11. Governing law and jurisdiction

11.1 These Participation Conditions are governed by Swiss law.
11.2 The parties shall endeavour to resolve any dispute amicably.

12. Entry into force and versions

12.1 This version enters into force on August 25th, 2026, and applies to any admission or renewal occurring on or after that date.
12.2 Participants admitted under a previous version are subject to this version from their next renewal, subject to the notice provided for in Article 6.3.
